1. Contractual Agreement & Platform Access

Welcome to HighLogo, a specialized marketplace operated by the HighLogo Team. By accessing our Site, creating a profile, or engaging in any transaction (buying or selling), you enter into a legally binding agreement with HighLogo ("we", "us", "our"). These Terms of Service ("Terms") govern your use of our digital environment.

Important: If you do not consent to every provision within this document, you are strictly prohibited from using our services or accessing the platform.

2. The HighLogo Professional Standard (Prohibited Tools)

To maintain our standing as a premier marketplace for high-end visual assets, we enforce the following quality controls:

• Strict No-AI Policy: We do not permit the listing or sale of logos generated via Artificial Intelligence. Any account found violating this will face an immediate and permanent ban.
• No-Canva Policy: HighLogo is for professional vector designers. We do not accept templates or designs created in Canva or similar tools. All submissions must be original, scalable works created in professional software like Adobe Illustrator.

3. Designer Engagement Models & Financials

HighLogo offers a flexible revenue structure based on the Designer's availability:

• Standard Collaboration (25% Fee): The Designer retains 75% of the sale and is personally responsible for delivering the final files and requested revisions within 24 hours.
• Managed Execution / Sleep Mode (35% Fee): The Designer retains 65%. HighLogo’s administration handles the buyer’s requests and final delivery.
• Administrative Intervention: If a designer in "Standard Mode" fails to respond within 24 hours, the transaction is automatically converted to "Sleep Mode" (35% fee) to protect the buyer’s experience.

Modification of Fees: HighLogo reserves the right to modify commission rates or fees at any time without prior notice. It is your responsibility to review the current rates. Continued use of the platform constitutes your binding acceptance of any changes.

4. Global Content & Commercial Integrity

To maintain a professional and commercial environment, HighLogo does not accept designs that include:

• Political or Religious Icons: Specific symbols representing political parties, movements, or controversial ideologies.
• Sensitive Content: Any designs promoting discrimination, racism, or hate speech.
• Inappropriate Themes: Adult content or offensive imagery.
• Ethical Violations: Designs that compromise human dignity, depict individuals demeaningly.
• Regulated Goods: Designs promoting drugs, alcohol, tobacco, or related products.
• Illegal Activities: Content encouraging hacking, forgery, or any violation of local or international laws.
• Weapons & Violence: Realistic depictions of firearms, explosives, or tools inciting physical harm.

Note: We reserve the right to refine titles, tags, and descriptions to optimize for SEO and marketplace categorization without prior notice.

5. Multi-Platform Listing & Exclusivity Rules

While we respect a designer's right to exposure, the "Trademarkability" of the logo is our priority:

• Immediate Withdrawal: If a logo is sold on HighLogo, it must be removed from all other platforms immediately. If it is sold elsewhere first, it must be deleted from HighLogo instantly.
• Exclusivity Standards: Listing on other sites is only allowed if those sites do not claim "Irrevocable" or "Sub-licensing" rights that conflict with our Buyer's exclusive ownership.
• Fraud Policy: Failure to maintain exclusivity is considered gross fraud, leading to account termination and forfeiture of pending funds.

6. Irrevocable Transfer of Ownership

The moment a transaction is finalized:

• Total Copyright Transfer: All legal rights, title, and interest in the logo are automatically transferred to the Buyer. The Buyer gains the perpetual right to use, modify, and register the design as a trademark.
• Authorship Recognition: The Seller retains moral authorship as the creator but agrees never to challenge the Buyer’s exclusive commercial use.
• Refund Clause: In the rare event of a refund, all transferred rights are voided. The Buyer must cease use immediately, and ownership reverts to the Designer for relisting.

7. User Capacity & Account Veracity

By registering, you confirm you are of legal age and that all provided data is accurate. The use of aliases or deceptive information is a breach of these terms. You are responsible for keeping your payment details (PayPal) and contact information current to ensure successful payouts.

8. Payouts, Revisions, and Security

• Financial Safety: All earnings enter a 14-day "Pending" safety period (which may be reduced to 7 days for established designers) before becoming "Available" for PayPal withdrawal.
• Service Revisions: Every sale includes "minor" customizations (name/color changes). Designers must deliver these within 24 hours of the request.
• Platform Security: Users must not attempt to circumvent security, scrape data, or engage in off-platform transactions to avoid fees.

9. Liability & Service Limitations

HighLogo provides the platform "as is." We are not liable for any direct or indirect damages, lost profits, or data loss resulting from your use of the service. We do not guarantee that the service will be uninterrupted or error-free.

10. Indemnification

You agree to protect and hold HighLogo harmless from any legal claims, attorney fees, or demands arising from your breach of these Terms or your violation of third-party intellectual property rights.

11. Finality of Termination

HighLogo reserves the absolute discretion to suspend or terminate any account at any time, for any reason, particularly to protect the integrity of our marketplace. Upon termination, your access to the service ceases immediately.

12. Governing Law

These Terms are governed by applicable laws. Any disputes shall be resolved within the competent courts of the jurisdiction where HighLogo operates.
